This Acceptable Use Policy (the "Policy" or "AUP") governs how you may use Interview Clozo, the Interview Clozo macOS application, the website at interview.clozo.ai and related services (together, the "Service"). The Service is provided by Clozo FZE LLC, a free-zone company registered in the United Arab Emirates (business registration number 2629114574888), registered office CWS-1V-226222, 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates ("Clozo", "we", "us", "our"). In this Policy, "you", "your" and "User" mean the individual who downloads, creates an account for, or pays for the Service. "Session Content" means the audio, transcripts, screenshots, résumé/CV text, job descriptions, notes and answers processed during your use of the Service. "Other Participants" means any person other than you in a meeting or call in which you use the Service, for example an interviewer.

This Policy forms part of, and is incorporated by reference into, our Terms of Service. It also works together with our Privacy Policy and our Disclaimer. Capitalised terms not defined here have the meaning given to them in the Terms of Service. If there is any conflict between this Policy and the Terms of Service, the Terms of Service govern, except that this Policy governs on the specific subject matter of permitted and prohibited use.

By using the Service, you agree to this Policy. You accept it when you start a free trial or buy a plan, by continuing past the sentence shown beside every pay button (“By continuing, you agree to our Terms of Service and Refund Policy”; this Policy is part of the Terms of Service), and by continuing to use the Service. This Policy sets out what you may and may not do with the Service. It is your responsibility, not ours, to know and follow the rules of any interviewer, employer, examination body, assessment platform, school or other organisation that apply to you, and to comply with all laws that apply to you and to any Other Participant. You alone determine how, where and with whom you use the Service; we process Session Content solely to provide the Service to you, at your direction, and you are solely responsible for that use.

Breach of this Policy is a material breach of the Terms of Service. We may suspend or terminate your access immediately and without notice for any breach or suspected breach, and, except where a law that cannot be excluded requires otherwise, you will not be entitled to any refund. You are responsible for ensuring that your use of the Service complies with this Policy at all times. The fact that the Service is available to you for any particular session is not our approval of your particular use, and does not reduce your responsibility for it.

1. Where you may NOT use the Service

The Service is intended to help you prepare for interviews, and to provide you with private, on-screen notes and suggestions during a live conversation only where such assistance is permitted by the interviewer, employer and any platform involved. It is not intended for, and you must not use it in, any setting where live outside assistance, notes, reference materials or third-party tools are prohibited or restricted. In particular, you must NOT use the Service in connection with any of the following:

  • Licensing, certification, credentialing and professional-qualification examinations of any kind. This includes, without limitation, bar examinations and other legal-licensing tests; CPA and other accountancy examinations; the CFA examinations; the NCLEX and other nursing, medical, dental and allied-health licensing examinations; FINRA and other securities and financial-licensing examinations; actuarial examinations; and real-estate, insurance, engineering, IT-certification and any other occupational-licensing or credentialing examinations. Using an unauthorised electronic aid, notes or data during such an examination may be a criminal offence and may expose you to civil penalties; you must not use the Service in any such examination.
  • Proctored academic examinations, tests, quizzes and coursework, and admissions tests. This includes, without limitation, remotely proctored or in-person examinations at any school, college, university or training provider, and standardised admissions and aptitude tests. Providing or using services to obtain, complete or gain an advantage in academic work in breach of institutional rules may be unlawful in some countries; you must not use the Service for it.
  • Any setting where the interviewer, employer, examiner, awarding body, assessment platform or other organiser prohibits or restricts outside assistance, notes, reference materials, additional software or the involvement of another person or system. Many interviews, coding assessments, take-home tests and proctored sessions require that your answers be your own, unaided work and prohibit outside sources or assistance. It is your responsibility to find out and follow the rules that apply to you before you use the Service. Compatibility of the Service with a platform is not permission to use it: the fact that the Service can technically run alongside a particular meeting, conferencing or assessment platform does not mean that platform, your interviewer or your employer permits it.

The Service is marketed and sold only as a tool for preparation and for permitted live assistance. We do not market the Service for use in the examinations, tests or restricted settings described above, and any statement by an affiliate, partner or third party suggesting such use is unauthorised and does not reflect our position or expand your rights under this Policy.

2. Impersonation and proxy interviewing are absolutely prohibited

You must use the Service only for yourself, in your own real interviews, honestly and under your own identity. The following are absolutely prohibited, with no exception:

  • Impersonation. Being interviewed, assessed or tested as, or on behalf of, another person; presenting yourself as someone you are not; or allowing another person to sit, join or take over any part of an interview or assessment for you.
  • Proxy interviewing, bench sales and "interview support" services. Using the Service to provide or operate a proxy-interview, bench-sales, staffing-proxy, "interview-as-a-service" or paid "interview support" arrangement, whether for yourself or for anyone else, and whether or not for payment. You may not use the Service to feed answers to, or take an interview for, a third party, and you may not offer the Service's output to others as such a service.
  • Using another person's identity, résumé or credentials. Uploading, entering or relying on a résumé/CV, work history, education, certifications, references, portfolio, code samples or other credentials that are not truthfully your own.
  • Fabricating experience or qualifications. Using the Service to invent, misstate or materially exaggerate your identity, experience, employment history, skills, authorship or qualifications, or to present generated material as your own genuine prior work.

These prohibitions protect you as well as us: impersonation, identity fraud and misrepresentation to an employer or examiner can carry serious legal and professional consequences for you, and the entire risk and responsibility for any such conduct is yours.

3. Recording, audio capture and Other Participants

How the Service works. You should understand exactly what the Service does before you use it. During a live session the Service captures two audio streams from your Mac: your microphone, and your Mac's system audio. Your Mac's system audio includes the audio of your meeting or call, and therefore the voices of Other Participants, including your interviewer. Both streams are captured by default. On every plan — free and paid alike — both streams are transmitted in real time through a relay that Clozo operates to a third-party speech-to-text provider (OpenAI) to be transcribed; the relay passes the data through in memory and does not store it on our servers. This means that Other Participants' speech leaves your Mac and is processed by third parties. The Service displays no recording indicator of its own. By default, the app also writes both parties' audio to local session files on your own Mac for a limited number of recent sessions; there is currently no in-app switch to disable this, and text traces of transcripts, prompts and answers are also kept locally. When you press a key or button to capture a screenshot, the image is sent to a third-party vision AI model to read the on-screen content; the images are not stored on our servers, but text extracted from them is kept in the session. Our Privacy Policy describes this processing, our sub-processors and our data practices in full, including the fact that we do not use Session Content to train our own models and that we do not create voiceprints, speaker-identification templates or other biometric identifiers.

Your duty to obtain consent. Recording, wiretap, eavesdropping and privacy laws differ from place to place. Some places require that every party to a conversation consent before it may be recorded, captured, transcribed or transmitted; others require that every party be told. The law of an Other Participant's location may apply to you, and it may differ from the law where you are. Before you capture, transcribe or transmit any audio using the Service, you must obtain every consent, and give every notice, that is required by every law applicable to you and to every Other Participant, and you must comply with any rules an interviewer, employer, examiner or platform sets about recording. It is your sole responsibility to determine what notice or consent is required and to obtain it. We provide the tool; you decide whether, when and with whom to use it.

Your representation and warranty. Each time you use the Service in a conversation, you represent and warrant that you are a party to that conversation and that, before capturing, transcribing or transmitting any audio, you have obtained every consent required by every applicable law from every Other Participant, and given every required notice. You must not use the Service to capture, transcribe or transmit any conversation to which you are not a party.

Assumption of risk. You acknowledge and agree that recording, wiretap, eavesdropping and privacy laws vary by jurisdiction, that the law of an Other Participant's location may govern, that whether a particular use is lawful depends on facts and law that we do not control and cannot assess for you, and that you alone bear the risk arising from your use of the Service in any conversation.

Indemnity. As set out more fully in the Terms of Service, you will defend, indemnify and hold harmless Clozo and its owner, officers, employees and affiliates against any and all claims, damages, penalties, fines, liabilities and costs (including reasonable legal fees) brought by any third party — expressly including Other Participants and interviewers, employers, examiners and assessment platforms — that arise out of or relate to your use of the Service and your breach of this Policy or the Terms of Service, or your unlawful acts or omissions, including any recording, wiretap, eavesdropping, privacy or breach-of-rules claim. This expressly includes any claim arising from any failure by you to give any notice or obtain any consent required by law from any Other Participant, regardless of any characteristic of the Service's design, including that the Service displays no recording indicator, on the basis of which no such claim shall be deemed to arise against us. This indemnity does not apply to any liability arising from Clozo's own fraud, wilful misconduct, gross negligence or violation of law, or to anything applicable law does not permit you to indemnify us for. Nothing in this Policy or the Terms of Service makes you responsible for Clozo's own independent wrongdoing.

4. No circumvention of proctoring, lockdown, integrity or security systems

The Service is a listener and an on-screen window that runs on your own Mac. It does not connect to, join, alter, disable, probe or tamper with any meeting, conferencing, examination, proctoring or assessment platform, or with any other party's systems. One optional feature, exclusive microphone access, is on by default: while you dictate, it can take priority over your Mac's microphone and temporarily stop other applications running on your own Mac — including your meeting client — from receiving microphone input. That is a local behaviour on your own device that results from how you choose to use the Service, not access to or interference with any other party's systems, and you are responsible for that choice. You must not use the Service, or attempt to use it, to defeat, disable, bypass, tamper with, spoof or interfere with any proctoring, remote-proctoring, lockdown-browser, examination-integrity, anti-cheating, monitoring, detection or security system, or any technical measure operated by another party. You must not:

  • attempt to evade, disable or falsify identity verification, environment scans, screen monitoring, camera or microphone monitoring, keystroke or process monitoring, or any similar integrity control;
  • access, interfere with, or attempt to access or interfere with, any account, network, server, system or data that you are not authorised to access, or any system belonging to an interviewer, employer, examiner or platform;
  • use the Service in any way that violates the terms of service, acceptable-use rules, examination rules or code of conduct of any platform, employer, school or examination body;
  • represent, imply or rely on any belief that the Service cannot be seen, detected or inferred. No software can guarantee that it will never be seen, detected or inferred, and the Service does not make that promise. Whether the Service's window stays off a shared screen depends on your Mac, your macOS version, the software the other side uses, its settings and your own configuration, and you are responsible for testing and verifying your own setup before you rely on it. 5. Other prohibited uses

You must not, and must not permit or enable anyone else to:

  • Reverse engineer or tamper with the Service. Reverse engineer, decompile, disassemble, decrypt or otherwise attempt to derive the source code, structure or underlying ideas of the Service, except to the limited extent this restriction is prohibited by applicable law; or circumvent, disable or interfere with any licence check, usage limit, security or access control in the Service.
  • Resell, share or transfer your licence or account. Sell, rent, lease, sublicense, distribute, share, or otherwise make the Service or your account credentials available to any other person; use one account for more than one individual; or create or use accounts in bulk. Each account and licence is for a single individual. Anti-abuse limits (including caps on sign-ups per network and on the number of devices per account) apply and must not be circumvented.
  • Exceed or evade usage limits by automation. Use bots, scripts, scrapers, automation, or any automated or artificial means to access the Service, generate usage, inflate answer generations, or exceed or avoid any plan limit, rate limit or fair-use limit.
  • Harass, discriminate or harm. Use the Service to harass, threaten, defame, stalk, discriminate against or harm any person, or to promote hatred or violence against any group or individual.
  • Process unlawful or infringing content. Use the Service to create, store, transmit or process any content that is unlawful, fraudulent, infringing of another's intellectual-property, privacy or publicity rights, or otherwise in breach of the rights of any person; or upload malware or malicious code.
  • Infer emotions or biometric characteristics of Other Participants. Use the Service, or attempt to use it, to infer or profile the emotions, mood, sentiment or biometric characteristics of any Other Participant, or to identify a person by voice.
  • Use the Service where prohibited by trade controls. Access or use the Service if you are located in, ordinarily resident in, or a national of, any country or territory subject to comprehensive sanctions or embargoes, or if you are a person with whom dealings are restricted under applicable export-control or sanctions laws; or use the Service in violation of any applicable export-control, sanctions or anti-money-laundering law.
  • Misuse the Service's output. Rely on the Service's transcripts or AI-generated suggestions without checking them; the Service may produce inaccurate output, and you are responsible for everything you say and submit. The Service does not provide legal, career, medical, financial or other professional advice.

6. Enforcement

We may investigate any suspected breach of this Policy and take any action we consider appropriate. Without limiting our other rights under the Terms of Service or at law, we may, at our discretion and to the extent permitted by law:

  • suspend or terminate your account and access to the Service immediately, with or without notice, on any breach or suspected breach of this Policy;
  • remove or disable access to any content or session data associated with a breach;
  • apply, adjust or remove usage limits, or decline to provide the Service for a particular session; and
  • refuse to provide the Service to you in future.

No refund on termination for breach. If we suspend or terminate your access because of a breach or suspected breach of this Policy, you will not be entitled to any refund of fees already paid, except to the extent a law that cannot lawfully be excluded requires a refund. This does not affect any statutory rights you may have that cannot be waived; see the savings clause in our Refund & Cancellation Policy and Terms of Service.

Cooperation with authorities. We may preserve and disclose account, device, log and usage information, and cooperate with law-enforcement, regulatory or other authorities and with courts, where we are required to do so by law, legal process or a valid governmental request, or where we reasonably believe it is necessary to protect our rights, our users or the public, or to investigate suspected unlawful activity. We log account, device-fingerprint, IP, timestamp and usage information as described in our Privacy Policy.

7. No affiliation with third-party platforms

Interview Clozo is an independent macOS application made by Clozo FZE LLC. It is not affiliated with, endorsed by, sponsored by or connected to Zoom, Microsoft, Google, Cisco/Webex, HackerRank, CodeSignal, CoderPad, HireVue, or any employer, examination body, school or assessment platform. Any names or marks of those organisations that appear in connection with the Service are used only to describe compatibility (nominative use) and remain the property of their respective owners.

8. Changes to this Policy

We may update this Policy from time to time. Changes apply only going forward; they are not retroactive and do not apply to any dispute already raised. We will post the updated Policy on our website, and where a change is material we will take reasonable steps to notify you and, where required, ask you to accept the updated Policy before it takes effect for you. The date at the top of this Policy shows when it was last updated.
