IMPORTANT — PLEASE READ. These Terms are a business agreement between you and Clozo FZE LLC about promoting Interview Clozo for a commission. Section 5 pays 20% of the money we actually receive from the customers you refer, on their first cycle and on every renewal, and Section 5.6 describes the first-cycle discount your Referral Code gives them; Section 6 holds every Commission until the refund window for that payment has closed and reverses refunded or disputed payments; Section 10 lists the promotion methods that end your participation; Section 15 explains when unpaid Commissions are forfeited; Section 20 sends disputes to arbitration.
These Affiliate Program Terms (the “Terms”) are a legal agreement between you and Clozo FZE LLC about the Interview Clozo Affiliate Program (the “Program”). They govern your participation in the Program, your use of the affiliate portal at interview.clozo.ai/affiliates/ (the “Portal”), the referral links and codes we issue to you, and every Commission and payout. By joining the Program you agree to these Terms, to our Privacy Policy and to our Cookie Policy. The Terms of Service, the Acceptable Use Policy, the Refund & Cancellation Policy and the Disclaimer govern the product you promote and the customers you refer; where you also use Interview Clozo as a customer, they govern that use. If you do not agree to these Terms, do not join the Program.

1. About these Terms and who we are
The Program is run by Clozo FZE LLC, a free zone company established in the United Arab Emirates (business registration number 2629114574888), whose registered address is CWS-1V-226222, 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates (“Interview Clozo”, “we”, “us” or “our”). You can reach us at info@clozo.ai. Interview Clozo is the product and brand name of our AI interview copilot for the Mac.
1.1 How you accept these Terms. You accept them in the sentence beside Create account on our create-account page, or beside the button that starts a checkout, when your Interview Clozo account is created. An account created before then accepts them by pressing Accept under the acceptance sentence in the Affiliate section of the account — on our website or in the Mac app — before its first payout; after a change, you accept the new version by pressing the button under the same kind of sentence there (Section 16). We record the version you accepted, the sentence shown to you, the date and time, your IP address and whether you used the website or the app. These Terms apply to every person and every business that joins the Program (“you”, “your”, “Affiliate”).
1.2 Separate from the customer terms. These Terms do not change the Terms of Service that apply to customers of Interview Clozo. If you are also a customer, both agreements apply to you, each in its own role. If a provision of these Terms conflicts with the Program Page or the Portal, these Terms govern, except where a commission rate agreed with you individually in writing, or a payout setting specific to your account, is shown in your Portal, which then governs for your account.
2. Definitions
- “Brand Assets” means the logos, images, copy and other materials we make available to you in the Portal’s Assets tab, as updated from time to time.
- “Commission” means the amount credited to your account under Section 5 for a Qualifying Payment.
- “Customer Discount” means the discount in Section 5.6 that a customer receives on their first billing cycle by using a Referral Link or Referral Code.

If we add or remove a method we say so on the Program Page.
- “Program Page” means interview.clozo.ai/affiliates/ and the settings shown to you in the Portal.

3. Joining the Program
3.1 Who may join. You may join if you are at least 18 years old and have the legal capacity to enter into a binding contract; or you are a business, and the person who applies is authorised to bind it. You may not join, and must leave the Program, if you are located in, ordinarily resident in, or a national of, any country or territory subject to comprehensive sanctions or embargoes, or if you are a person with whom dealings are restricted under applicable export-control or sanctions laws, or if you are a person we cannot lawfully pay. You must give us accurate, current and complete information when you join and keep it current in the Portal.
3.2 One account. The Program runs on your Interview Clozo account: one account per person and per business, with the same email address, username and password for the website and the Mac app. You may not create an account on behalf of anyone else, share your account, or transfer it. A business may let several of its people use its one account, and is responsible for everything they do.
3.3 Review. Your affiliate account starts working straight away. We review affiliate accounts as they are used, and we may suspend or close any affiliate account at any time for any reason permitted by law — including because a promotion method, website, channel or audience does not fit the Program — and we tell you by email when we do. Being in the Program is not our endorsement of you or of your promotion.
3.4 Enrolment, and people who cannot earn. Every Interview Clozo account is enrolled automatically; you accept these Terms in the sentence beside Create account or the checkout button; accounts created earlier accept them before their first payout. Until an account has accepted them, its Referral Link and Referral Code work and its Commissions are credited and held as usual, but no payout is made. Enrolment changes nothing about your plan or your payment methods. Our employees and contractors, and anyone acting for us, cannot earn Commissions on their own or their household’s purchases, and no one can earn on their own account or purchases (Section 5.4).
4. Your referral link and how referrals are credited
4.1 Your link. The Portal gives you a Referral Code and lets you build a Referral Link to any page of interview.clozo.ai. When a visitor opens a Referral Link, the visitor’s browser keeps your code, the link used and the time of the click for 90 days (a value named clozo_via in the browser’s local storage; no cookie, no personal information), and our servers record the click with the page, the time, the site that referred the visitor and a one-way hash of the visitor’s connection. If the visitor later opens another affiliate’s link, that affiliate’s code replaces yours (last click wins). Our Cookie Policy describes the value; it is strictly functional. A Referral Code entered on our pricing page is recorded the same way, at the checkout it starts; where the browser already keeps another affiliate’s code from a Referral Link, that link keeps the referral (Section 4.4).
4.2 When a referral becomes yours. A visitor becomes your Referred Lead when, while your code is the one recorded in their browser, they complete a checkout on interview.clozo.ai (a Trial or a plan) or create an account on our create-account page — the checkout creates their account and records the referral on our servers against that account. From that point the browser value no longer matters for that account. A Referred Lead becomes your Referred Customer when we receive their first Qualifying Payment, and stays yours for as long as Section 5.3 provides.
4.3 What breaks a referral. No referral is credited, and we may remove one already credited, where: (a) the person already had an Interview Clozo account or Trial before opening your link; (b) the value was not kept or was cleared, blocked or expired before the checkout, including where the person used a different browser or device, or where the browser’s settings did not allow it to be kept — we credit only what our systems recorded; (c) another affiliate’s code was recorded last; (d) the referral is excluded under Section 5.4 or Section 10; or (e) the account or payment is later found to be fraudulent.
4.4 Your code is also a discount code. Your Referral Code works as a customer discount code: a customer who opens your Referral Link, or enters your Referral Code on our pricing page, receives the Customer Discount (Section 5.6). A purchase that uses your Referral Code is credited to you even without a Referral Link, unless the customer opened another affiliate’s Referral Link first: that affiliate keeps the referral, and the customer still receives the Customer Discount. We may also issue you, or bind to your account, another code; the same rules apply to it. A purchase that uses a code we did not issue to you, or a code published somewhere we did not authorise (Section 10), is not credited to you. We may change or withdraw the Customer Discount, or a code, under Section 16.
4.5 Our records decide. Referrals, Leads, Customers, Qualifying Payments and Commissions are determined solely from our own records, which the Portal shows to you with their dates and status. We do not credit referrals on the basis of your own records, screenshots or statements. If you believe a referral was missed, tell us within 30 days of the purchase at info@clozo.ai and we will look at our records; where they support you, we credit the referral.
4.6 Levels and badges. The Portal may show you levels, badges, streaks, missions and a leaderboard derived from the same records. They are recognition only: they never alter the commission rate, the Hold Period, a minimum or a payout, and nothing in them is a promise of any payment.
5. Commissions
5.1 The rate. For every Qualifying Payment from your Referred Customer we credit you a Commission of 20% of the amount we actually received, unless a different rate is agreed with you individually in writing and shown in your Portal. The rate is applied to each payment at the time we receive it.
5.2 What a Qualifying Payment is. A Qualifying Payment is a payment for an Interview Clozo plan — the first payment and every renewal, on Monthly and on Yearly alike — that we have actually received from your Referred Customer through our payment providers. The amount is the amount the customer actually paid for that period after every discount applied to that payment — the Customer Discount on a first billing cycle, or any other discount we gave (for example a retention discount) — in US dollars, before our payment-processing costs and excluding any sales tax, VAT, GST or similar tax we collect. A Commission is calculated in US cents and rounded to the nearest cent, halves up. Because the Customer Discount reduces what the customer pays for their first billing cycle, the Commission on that first payment is 20% of the discounted amount, and the Commission on every later Qualifying Payment, paid at the full price, is 20% of that full price.
5.3 First and recurring payments. You earn on the first Qualifying Payment and on every later Qualifying Payment from the same Referred Customer — every renewal, month after month or year after year — for as long as that customer keeps paying. A renewal does not need a new click, link or code: once a customer is your Referred Customer, their renewals are credited to you automatically.
5.4 What earns nothing. No Commission is credited for: (a) a Trial — nothing is paid during a Trial, and the Commission arises only on the first payment, if any; (b) a payment that is refunded, reversed, disputed or charged back, in whole or in part, to the extent of the refunded or reversed amount (Section 6); (c) a payment we never actually received, including one that failed or remains overdue; (d) a purchase made by you, by anyone in your household or business, or with an email address, payment method, device or network that we link to you (a self-referral); (e) a purchase by a person who already had an Interview Clozo account or Trial before opening your link; (f) a purchase obtained in breach of Section 9, 10, 11 or 12; (g) a purchase credited to another affiliate under Section 4.4, or completed with a code we did not issue to you; (h) a purchase by a person you paid, rewarded or otherwise incentivised to buy, or a purchase made only to generate a Commission; or (i) any amount other than a payment for a plan (for example an amount a customer pays us to settle a dispute, or a payment by one of our employees or contractors).
5.5 No commission on our other products or on anything we do not sell through interview.clozo.ai. The Program covers Interview Clozo plans sold on interview.clozo.ai only.
5.6 The Customer Discount. A customer who uses your Referral Link or Referral Code receives 20% off the price of their first billing cycle of a Monthly or Yearly plan, on card, Link and wallet payments, and on PayPal where the checkout offers the discount with PayPal, unless the Program Page or the Portal states a different discount. Renewals are charged at the full price shown on our pricing page on the day of each payment. The Customer Discount applies once per customer, to their first subscription only; it cannot be combined with any other discount or code; it does not apply to a person who already has, or had, an Interview Clozo subscription — if it is applied by mistake to a payment we have already taken, the customer keeps the price they were charged; and it is subject to our Terms of Service and Refund & Cancellation Policy, under which a refund of a discounted payment refunds the amount the customer actually paid. The Customer Discount is given and paid for by us: nothing is deducted from your Commissions for it, beyond the fact that your Commission on the discounted first payment is calculated on the amount actually paid (Section 5.2). You may describe the Customer Discount only as these Terms and our website describe it (Sections 10 and 12).
6. The hold, approval and clawbacks
6.1 Every Commission waits only for the refund window. Because every customer has a money-back window, a Commission is pending from the day we receive the payment until the refund window for that payment has closed, and not longer: it becomes payable 14 days after a Monthly payment (the 14-day refund window) and 30 days after a Yearly payment (the 30-day refund window). The Portal shows the date each Commission becomes payable. When that date passes and the payment has not been refunded, reversed or disputed, the Commission becomes approved (payable) and goes out in the next weekly payout run once your balance reaches the minimum. A refund requested inside the window but completed after the Commission was approved or paid is handled under Section 6.2.
6.2 Refunds, reversals, disputes and chargebacks. If a payment is refunded, reversed, disputed or charged back in full before its Commission is approved, the Commission is voided and never becomes payable. If that happens after the Commission was approved or paid, we record a negative entry for the Commission on that payment and deduct it from your approved balance and from your next payout or payouts until it is recovered. A partial refund reverses the matching share of the Commission: 20% of the amount refunded, in proportion, whether before or after approval, so that your Commission always equals 20% of what we kept. We do not invoice you for a negative balance that later payouts cannot cover, except in the cases in Section 15.4. A dispute that is later decided in our favour has its Commission restored; a refund we give as a goodwill gesture is treated like any other refund. A refund of a discounted first payment reverses the Commission in proportion to the amount refunded out of the amount the customer actually paid, so it can never reverse more than the Commission credited on that payment.
6.3 Review. Where our systems or our team see signs that a referral or a payment may not be genuine — for example many sign-ins from one network in a short time, disposable email addresses, an unusual refund or dispute rate, or a pattern that looks like self-referral — the Commission is placed in review instead of pending, and stays there until a person at Interview Clozo approves or rejects it. We tell you in the Portal when a Commission is in review and, once decided, why it was rejected. We may ask you how a referral was obtained, and we may hold every Commission on the account while we look.
6.4 Corrections. We may correct any Commission that was credited in error (for example because of a tracking fault, a duplicated event or a wrong rate) at any time within 12 months of crediting it, and we explain every correction in the Portal.
7. Payouts
7.1 Weekly payout runs. A payout run takes place once a week, on Monday, unless the Program Page states a different schedule, and pays every affiliate whose approved balance has reached the minimum and who has accepted the current version of these Terms. PayPal payouts are made automatically by the payout run. The minimum payout is US$25 for PayPal and for USDT, and US$100 for a bank transfer (a bank wire costs us a fixed fee that would otherwise swallow a small payout); the Portal shows the minimum for each Payout Method. A balance below the minimum carries over to the next run.
7.2 A Payout Method is required. To be paid you must connect one Payout Method in the Portal and complete the verification it needs — for PayPal, confirming the PayPal email address with the code we email to it; for a bank transfer, complete and accurate bank details in your own name, confirmed on the review screen; for USDT or USDC, a wallet address and network confirmed on the review screen, including re-typing the last characters of the address. Until you have done so, approved Commissions accumulate and are not paid. We may require the Payout Method to be in the same name as your affiliate account. A bank transfer, USDT or USDC payout is sent automatically on the day of the payout run where our payment service provider or our wallet can send it; otherwise it is sent within five business days of the run. The Portal shows the bank reference or the transaction hash when it is done. A payout above the limits shown in the Portal, the first one to a new wallet above them, or the first one to a new bank account, may wait for a check by our team before it is sent.
7.3 Currency and fees. All Commissions are calculated in US dollars and paid in US dollars or, for the USDT and USDC methods, in that token. A bank transfer we send through our payment service provider may arrive in the currency of your account, converted from US dollars at the provider’s rate; USDT and USDC are sent at one token per US dollar. We pay the sending fee our payout provider, bank or the network charges us. Any fee your payout provider, bank, wallet or exchange charges to receive, convert or withdraw the money — including currency conversion — is yours, and we do not control the exchange rate applied.
7.4 Failed payouts. If a payout cannot be delivered (for example because the PayPal account cannot receive payments, bank details are wrong, or a USDT withdrawal to the saved address is rejected by our provider), the Portal shows the provider’s reason, the amount returns to your approved balance, and we try again on the next run after you have fixed the Payout Method. We are not responsible for a payout sent correctly to the Payout Method you connected.
7.5 Statements and records. The Portal shows every referral, Commission, hold date, negative entry and payout with its date, status and provider reference, and lets you export statements as CSV files. Tell us about any error within 60 days of the payout concerned; after that the statement is treated as accepted, except for errors we caused.
7.6 Unclaimed balances. If an approved balance has stayed unpaid for 12 months because no Payout Method was connected or every payout to it failed, and we have emailed you at least twice in that time, we may close the account and the balance is forfeited, except where the law that applies to you does not allow it.
7.7 Set-off. We may deduct from any payout any negative entry under Section 6.2, any amount you owe us under these Terms, and any amount a law requires us to withhold.
7.8 USDT and USDC payouts. A USDT or USDC transfer is made only to the wallet address saved in the Portal at the time of the payout run, on the network you chose for it: TRON (TRC20) or Ethereum (ERC20) for USDT, Ethereum or Base for USDC. You are responsible for the choice of network and for the accuracy of the address; a transfer sent to the saved address on the chosen network is complete when the network confirms it, cannot be reversed or recalled, and funds sent to an address or network you entered wrongly are lost. We send them from our own wallet or exchange account; we pay the network fee. We check every wallet address against published sanctions lists and the token issuer’s freeze list before we send, and we do not send to an address that fails a check. We do not hold USDT or USDC for you, do not convert it, and do not advise on it. USDT and USDC payouts are not available to residents of the United Arab Emirates or of any other country listed in the Portal. We may stop offering them at any time under Section 16; your balance is unaffected and you can switch to another Payout Method.
8. Taxes, identity and sanctions checks
8.1 Your taxes. You are responsible for every tax, levy, duty and social contribution on the Commissions you receive, in every country whose law applies to you. We do not add tax to Commissions, and we do not pay your taxes. Where a law requires us to withhold tax from a payout, we withhold it and tell you.
8.2 Forms and identity. Before your first payout we ask for your country of tax residence and, where you have one, your tax identification number; a United Arab Emirates resident business also gives its VAT registration number and advertiser permit number. Before any payout we may also require a completed tax form your country uses, proof of your identity and address, and the legal name and registration details of your business. We may suspend payouts until we have them, and we may refuse to pay anyone we cannot identify or cannot lawfully pay.
8.3 Sanctions and payment screening. We and our payout providers screen payees against sanctions and anti-money-laundering lists. We may delay, refuse or reverse a payout, and close an account, where a screening result requires it, and we may be unable to tell you why. For wallet payouts we also screen the wallet address with blockchain analytics and published sanctions lists, and we check the account holder’s name against published sanctions lists. If a check matches a sanctions list, we hold every payout to you, on every Payout Method, while we review it, as the law requires.
9. How you may promote Interview Clozo
9.1 Honest promotion in your own channels. You may promote Interview Clozo on websites, blogs, newsletters, videos, podcasts, social media accounts, communities and courses that you own or are allowed to post in, and to people who have agreed to hear from you. Everything you say about Interview Clozo must be true, current and consistent with what our website says on the day you say it: the features, the Trial, the prices, the money-back guarantee and its conditions, and the rules of use.
9.2 Required disclosures. Wherever you share a Referral Link or Code, you must clearly and conspicuously disclose that you may earn a commission if someone buys through it — before the link, in the same place as the link, in words a reader cannot miss (for example “Affiliate link: I earn a commission if you subscribe”, or “#ad” together with a plain-language note). In a video or audio episode, say it out loud and show it on screen near the start; on social media, put it in the post itself, not only in a profile or a “more” link. This is required by the United States Federal Trade Commission’s Endorsement Guides (16 CFR Part 255), by the UK CAP Code and the Advertising Standards Authority and Competition and Markets Authority guidance, by the Australian Competition and Consumer Commission, by the Competition Bureau of Canada, by the United Arab Emirates’ advertising rules, and by similar rules elsewhere; you are responsible for knowing and following the rules that apply to you and your audience.
9.3 Your own experience. If you describe your own use of Interview Clozo, it must be true. If you have not used it, do not say or imply that you have. Any review, rating or testimonial you publish must be genuine and must disclose your relationship with us.
9.4 Paid advertising. You may buy advertising to promote Interview Clozo only on networks whose policies allow it and only in compliance with Section 10 (in particular 10.1 on brand terms). You are the advertiser of record and you bear every cost and every consequence of your advertising.
10. Prohibited promotion methods
You must not, and must not let anyone acting for you:
- Bid on our brand. Buy, bid on or target search advertising, app-store advertising or any paid placement on the terms “Interview Clozo”, “Clozo FZE LLC”, “clozo.ai”, any part of those names on its own, our product names, or any misspelling or variation of them, or use any Mark in an advertisement’s headline, text or display address.
- Force referrals. Record the referral value without a deliberate click on a visibly labelled link by a real person — including through pop-ups, pop-unders, iframes, hidden pixels, automatic redirects, scripts or browser extensions — or alter, forge or interfere with a Referral Link, the referral value or a tracking parameter.
- Spam. Send unsolicited bulk email, SMS or direct messages; post Referral Links in comment sections, forums, groups or reviews where they are not welcome; or breach any anti-spam or electronic-marketing law (including CAN-SPAM, CASL, PECR and the GDPR).
- Mislead. Make any false, unsubstantiated or misleading statement about Interview Clozo, its features, its prices, the Trial, the money-back guarantee, our company, or a competitor, including stating the Customer Discount as anything other than what Section 5.6 provides — for example as a discount on every payment, on renewals, or as larger than it is; invent or exaggerate; or create false urgency or scarcity (deadlines, countdowns, “spots” or price rises that do not exist).
- Promise results. State or imply that using Interview Clozo leads to, or guarantees, any interview, examination, assessment, hiring, offer, score, salary or career result. We do not promise results, and neither may you.
- Publish codes where we did not allow it. Post a Referral Link, Referral Code or promotion code on coupon, voucher, deal, discount, cashback or loyalty websites, apps, extensions or newsletters, or describe a code as “exclusive”, “official” or “verified”, unless we have agreed to it in writing for your account. The Customer Discount does not make your Referral Code a coupon you may publish on such websites, apps, extensions or newsletters.
- Pay people to buy. Offer or pay any cash, rebate, reward, points, credits, prize or other incentive to anyone for starting a Trial or buying through your link, or run contests or giveaways that reward sign-ups.
- Refer yourself. Buy, or start a Trial, through your own link or code, or arrange for your household, business, employees or friends to do so for the Commission; or start Trials, create accounts or make payments that are not from genuine customers.
- Pretend to be us. Present yourself as Interview Clozo or Clozo FZE LLC, as our employee, agent, partner or “official” representative; register or use any domain name, subdomain, social media handle, page name, app name or email address that contains or resembles a Mark; copy our website, checkout or emails; or send emails that look as if they come from us.
- Promote restricted use. Suggest, show or imply that Interview Clozo may be used in a licensing, certification or credentialing examination, in a proctored academic examination or admissions test, in any assessment whose rules forbid outside help, or in any way the Acceptable Use Policy forbids; or present it as a way to deceive an interviewer, employer or examination body or to break the rules of any assessment. Our Acceptable Use Policy already states that a statement by an affiliate suggesting such use is unauthorised and does not reflect our position.
- Go beyond our words on being seen or detected. Make any statement about whether Interview Clozo, its window, its audio capture or its network traffic can or cannot be seen, captured, detected, recorded, inferred or reported by any person, software, device or platform, other than by quoting our website’s own words with a link to the page. Our Disclaimer explains that no software can promise this, and we do not.
- Target minors or unsuitable audiences. Promote Interview Clozo to anyone under 18, on content made for children, or on websites, channels or content that are pornographic, violent, hateful, defamatory, infringing or unlawful.
- Buy our own traffic. Place paid links or advertising on our own websites or in our own communities, or pay for placement that intercepts visitors who were already on their way to interview.clozo.ai.
- Announce a partnership. Issue a press release, case study, announcement or interview that names us as your partner, client, sponsor or investor, or implies that we endorse you, without our prior written consent.
- Scrape or automate. Use bots, scripts or automation to generate clicks, leads, accounts, Trials or payments, or to access the Portal other than through its pages.
- Use the Marks outside Section 11, or alter, combine, animate or re-draw any Brand Asset.
- Breach any law that applies to your promotion — including consumer-protection, advertising, privacy, anti-spam, intellectual-property and export-control law — or the terms of any platform you use.
- Re-sell or share your account, or receive Commissions on behalf of another affiliate or sub-affiliate network.
11. Brand and trademark use
11.1 Licence. While you are in the Program we grant you a limited, revocable, non-exclusive, non-transferable licence to use the name “Interview Clozo” in plain text, and the Brand Assets exactly as we provide them, solely to promote Interview Clozo under these Terms. We may add, change or withdraw Brand Assets at any time; use the current ones.
11.2 Rules. Do not alter a logo’s shape, colours, proportions or spacing; do not place our logo inside yours or next to another company’s as if we were partners; do not use a Mark as part of your own product, service, company, domain, handle or page name; do not register any trade mark containing a Mark; do not use screenshots of the product that you have edited to show something it does not do. Competitor names may be used only to state true, current, sourced facts, as our comparison pages do, never to disparage.
11.3 Ownership. The Marks, the Brand Assets, our website, our product and everything we publish are our property or our licensors’. Your use adds nothing to your rights in them, and all goodwill from your use belongs to us. We may ask you to change or remove any use of a Mark, and you must do so within 3 days of our email. The licence ends when your participation ends.
12. What you say about Interview Clozo
12.1 Use our facts. Take product, pricing, Trial and refund facts from interview.clozo.ai and keep them current; we change features and prices from time to time, and a Referred Customer is always charged what our pricing page shows on the day. Describe the Trial as our website describes it — with the words “Start Free Trial” and the conditions shown there — and never promise a Trial or plan on different terms. Describe the Customer Discount as our website and your Portal describe it — “20% off your first cycle” with your link or code — and never as a discount on renewals, as a price we did not publish, or as available only until a date we did not set.
12.2 Describe what it does, not what the interviewer decides. Interview Clozo is an AI interview copilot for real interview rounds: it hears the question and puts a strong, ready-to-say answer on the user’s screen, and the user says it in their own words. Say that. Do not say or imply that it answers for the user, that it makes any result certain, or that it is a way to deceive anyone. AI output can be wrong, and every customer is responsible for what they say; our Disclaimer applies to every claim you make.
12.3 Your content is yours. You are solely responsible for every website, post, video, email, advertisement and other content you create, for the rights you need to publish it, for the people it reaches, and for complying with the rules of every platform you use. We may ask you to correct or remove content that breaches these Terms, and you must do so within 3 days of our email; we may suspend your account meanwhile.
13. Data protection and confidentiality
13.1 What you see about Referred Customers. The Portal shows you, for each referral, its status (lead, customer or churned), the plan, the dates, the amounts in US dollars on which your Commissions are based, and the Commission and payout records. It never shows a name, an email address, a payment method, an IP address, or anything else that identifies a customer. You must not try to identify a Referred Customer from the Portal, from timing, or from any other source, and must not contact a person about their purchase on the basis of Portal data. Our Privacy Policy (section 9C) explains this to customers. If you join the optional leaderboard, your chosen display name, your level and the number of customers you referred in the month are shown to other affiliates; you may leave it at any time in the Portal’s Settings, and nothing about your earnings is ever shown.
13.2 Your information. We process the details of your Interview Clozo account (name, email address, username; the password only as a hash), your country, Payout Method details (where we hold them rather than the provider), tax details and identity documents, your IP address and device information, and your Portal activity, to run the Program, pay you, prevent fraud and meet our legal obligations; our Privacy Policy (sections 3, 6, 7, 9C and 15) describes this in full. To pay you we share your name, email address, country and the Payout Method details you connect with the payout provider for your Payout Method — PayPal for PayPal payouts; our bank, or our payment service provider Mamo, for a bank transfer; for USDT and USDC, the exchange we send from, our node providers and our blockchain screening provider receive the wallet address, and the transaction is recorded on the public TRON, Ethereum or Base ledger; Payoneer for Payoneer payouts — which handles them under its own terms as an independent controller.
13.3 Your audience’s information is your responsibility. You are the controller of any personal information you collect from your own audience. You must have a lawful basis and the consents you need to send them marketing, honour unsubscribes and opt-outs, and never send us personal information about them. We do not give you personal information about customers, and the Program does not involve us processing your audience’s data except the referral records described in Section 4.
13.4 Confidentiality. Commission rates, settings or offers we give to you specifically, unreleased product information, Brand Assets we mark as embargoed, and anything we tell you is confidential must be kept confidential and used only for the Program. Your own earnings figures are yours to share, truthfully.
14. Our relationship
You are an independent contractor. Nothing in these Terms creates an employment, agency, partnership, joint venture or franchise relationship, and you have no authority to make any statement, representation or commitment on our behalf, to accept any payment for us, or to bind us in any way. The Program is not exclusive: you may promote other products, and we may run other programs. We owe you nothing beyond the Commissions these Terms provide.
15. Suspension, termination and forfeiture
15.1 By you. You may leave the Program at any time from the Affiliate section (Settings › Leave the program) or by emailing info@clozo.ai. Leaving the Program does not close your Interview Clozo account.
15.2 By us. We may suspend or end your participation at any time, with or without a reason, by email. Where the reason is a breach of these Terms, the ending is immediate. Section 15.3 says what happens to your referrals in each case.
15.3 What happens to your balance and your referrals. If you leave, or we end your participation without a breach, Commissions that are pending on that day are still approved and paid once their Hold Periods pass, on the normal schedule, provided a Payout Method is connected and verified within 90 days of the day your participation ends; after those 90 days any balance that could not be paid is forfeited. If you leave, no new referrals are credited after the day you leave, including renewals that fall after it. If we end your participation without cause — that is, not for fraud or a breach of these Terms — Referred Customers you referred before that day keep earning for you: Commissions on their renewals continue to be credited, held and paid under these Terms for as long as they keep paying, provided a Payout Method stays connected. If we end your participation for fraud or a breach of these Terms (Section 15.4), no Commission is credited for any payment after that day.
15.4 Forfeiture. If we end your participation because of fraud, self-referral, forced referrals, brand bidding, a misleading or outcome claim, promotion of restricted use, or any other material breach of Sections 9 to 13, every pending Commission and every approved but unpaid Commission is forfeited, and we may recover from you any Commission already paid on referrals obtained in breach, together with the costs we incur. Our records of the breach are shared with you on request.
15.5 Survival. Sections 6.2, 7.7, 8, 11.3, 13, 14, 15.3 to 15.5, 17, 18, 19, 20 and 21 survive the end of your participation.
16. Changes to the Program and these Terms
We may change the Program — including the commission rate, the Hold Period, the payout schedule, the minimum payout, the Payout Methods and the Brand Assets — and these Terms. This includes the Customer Discount: we may change or withdraw it, and we email you at least 14 days before we reduce or withdraw it so that you can update what you have published; content you published before that email, which described the Customer Discount accurately at the time, is not a breach of Section 10 if you update it within those 14 days. We email you at least 14 days before a change that reduces a commission rate, lengthens the Hold Period, raises the minimum payout or removes a Payout Method, and we post every change on this page with a new “Last updated” date. A change applies to Qualifying Payments we receive on or after the day it starts to apply; it never changes a Commission already credited for a payment received before that day. If you do not accept a change, leave the Program before that day; continuing to use the Portal or your Referral Link after that day is your acceptance. This version applies from the Last updated date above.
17. Disclaimers
The Program, the Portal, the Referral Links and all tracking are provided “as is” and “as available”. We do not promise that tracking will record every visit or purchase, that the Portal will be available at all times, that any level of earnings is achievable, or that we will keep selling Interview Clozo, keep its prices, or keep the Program open. Earnings depend on your audience and your work; we make no promise about them, and any figure on the Program Page is an illustration from the stated inputs, not a forecast. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
18. Limitation of liability
18.1 No indirect loss. To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, goodwill or data, arising out of or relating to the Program or these Terms, however caused and even if we were told it was possible.
18.2 Cap. To the fullest extent permitted by law, our total liability arising out of or relating to the Program or these Terms will not exceed the greater of: (a) the Commissions we paid you in the twelve months before the event giving rise to the claim; or (b) one hundred US dollars (US$100).
18.3 Carve-outs. Nothing in these Terms limits or excludes liability for fraud or fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot be limited or excluded under the law that applies.
19. Indemnity
You will defend, indemnify and hold harmless Clozo FZE LLC and its owner, officers, employees, contractors and agents from and against every claim, demand, fine, penalty, loss, cost and expense (including reasonable legal fees) arising out of or relating to: (a) your promotion of Interview Clozo and any content, advertising, email or statement you make; (b) your breach of these Terms or of any law or platform rule; (c) any claim by a member of your audience, a platform, an advertising network, a regulator or a competitor about your promotion; (d) your taxes; or (e) your use of a Mark or Brand Asset outside Section 11. We may take over the defence of any such claim at our own expense, and you will cooperate.
20. Governing law and disputes
20.1 Governing law. These Terms and any dispute arising out of or relating to them or the Program are governed by the laws of England and Wales, without regard to conflict-of-laws rules.
20.2 Talk to us first. Before starting any proceeding, write to info@clozo.ai describing the dispute and what you want; we will try in good faith to resolve it with you within 45 days.
20.3 Arbitration or the DIFC Courts. Any dispute not resolved that way will be finally resolved by individual arbitration seated in the Dubai International Financial Centre (DIFC), administered by the Dubai International Arbitration Centre (DIAC) under its rules, by one arbitrator, in the English language, with hearings held online. Alternatively, you and we may agree in writing to submit the dispute to the Courts of the Dubai International Financial Centre (the DIFC Courts). No dispute may be brought as a class, collective or representative proceeding. Either party may seek an injunction in any competent court to protect its intellectual property or confidential information.
20.4 Your mandatory rights. If the law of the country where you live treats you as a consumer in relation to the Program and does not allow a pre-dispute agreement to arbitrate, or requires proceedings to be brought in your home courts, that law prevails for you.
21. General provisions
21.1 Assignment. You may not assign or transfer these Terms or your account. We may assign them to an affiliate company or in a merger, acquisition, reorganisation or sale of assets, on notice to you.
21.2 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including failures of payment or payout providers, banks, hosting or telecommunications.
21.3 Entire agreement. These Terms, the Program Page and the account-specific settings shown in your Portal are the entire agreement between you and us about the Program and replace every earlier discussion. The Customer Terms govern the product and the customers, not the Program.
21.4 No waiver; severability. Our failure to enforce a provision is not a waiver of it. If a provision is found unenforceable, it is modified to the minimum extent necessary or severed, and the rest continues.
21.5 Language and notices. These Terms are in English, which governs any translation. Notices to you go to the email address on your Interview Clozo account, and are effective when sent; notices to us go to info@clozo.ai. Keep your email address current.
21.6 No third-party beneficiaries. These Terms create no rights in anyone other than you and us, except the persons indemnified under Section 19.
